These terms govern societies' participation in the AdX programme, operated by SevenM Technologies Private Limited. By participating you agree to them.
01AdX Society Programme
Participating societies offer eligible advertising inventory within their premises to advertisers.
02Society Eligibility
Societies must hold legal authority to participate, including registration and internal approvals.
03Society Account
Designate authorized representatives to manage the account and keep information accurate and secure.
04Advertising Inventory
Provide accurate inventory details; do not list inventory you have no authority to provide.
05Inventory Availability
Availability depends on society approval, technical capability and maintenance.
06Campaign Approval
Campaigns may be auto-approved or require approvals; societies may reject campaigns that conflict with law or standards.
07Advertising Content
Societies need not verify advertiser claims but should notify AdX of unlawful or misleading ads.
08Resident Data
Do not provide resident personal information unless specifically authorized and legally required.
09Resident Experience
Operations should align with society rules; resident complaints should be shared with AdX.
10Pricing
Prices are set by AdX; the amount an advertiser pays may differ from what a society receives after deductions.
11Society Revenue / Settlement
Settlements are calculated on confirmed campaigns and agreed terms, with possible withholding.
12Taxes
Societies are responsible for their tax obligations and may need to provide tax documentation.
13KYC & Verification
Verification may be required; payments may be held until it is complete.
14Technical Equipment
Installation and maintenance responsibilities are defined in the commercial agreement; provide reasonable access and care.
15Electricity & Connectivity
Infrastructure responsibilities follow the commercial arrangement; AdX is not liable for society-controlled infrastructure failures.
16No Guarantee of Volume
Participation does not guarantee a specific number of campaigns, revenue, ads or impressions.
17Society Representations
Societies confirm authority, accurate information, legal compliance and no misuse of information.
18Prohibited Conduct
No manipulating campaigns, tampering with equipment, circumventing systems or sharing confidential information.
19Direct Dealings
Do not use AdX information to bypass AdX and contract directly with advertisers to avoid fees.
20Intellectual Property
Societies retain their IP and license AdX to use it for operations; AdX retains its platform IP.
21Confidentiality
Keep confidential information secure, with standard exceptions.
22Privacy & Personal Data
Comply with data-protection laws and share only reasonably required personal information.
23Campaign Suspension
AdX may suspend a campaign that appears unlawful, unsafe or in breach, or at a society's legitimate request.
24Suspension of Participation
Participation may be suspended or terminated for breaches, inaccurate information, fraud, equipment damage or security risks.
25Termination by Society
Societies may terminate with notice; ongoing campaigns follow the commercial agreement.
26Indemnity
Societies indemnify AdX against claims arising from lack of authority, unauthorized inventory use or breaches.
27Limitation of Liability
AdX's liability is limited to the maximum extent permitted by law.
28Force Majeure
AdX is not responsible for failures caused by events beyond its reasonable control.
29Changes to Platform
AdX may modify the platform; material changes follow the applicable agreement.
30Changes to These Terms
Terms may be updated periodically, with revised effective dates.
31Independent Relationship
No partnership, agency or employment is created between AdX and the society.
32Governing Law & Jurisdiction
Governed by Indian law, subject to the jurisdiction of Indian courts.
33Entire Agreement
These terms and related documents govern; specific commercial agreements prevail on conflict.
